The Client agrees to provide timely information, feedback, content, and approvals as required for the successful completion of the project. Delays caused by the Client may result in adjustments to project timelines and costs.

3.3. Changes to Scope

Any changes or additions to the agreed-upon scope of work may be subject to additional charges and timeline adjustments, to be mutually agreed upon in writing.

4. Intellectual Property Rights

Unless otherwise stated in a specific project agreement (SOW):

• We retain ownership of all pre-existing intellectual property, tools, and methodologies used in providing the Services.
• Upon full and final payment for a project, the Client will own the intellectual property rights to the custom-developed deliverables specifically created for them as outlined in the SOW.
• We reserve the right to showcase completed projects in our portfolio unless a non-disclosure agreement (NDA) states otherwise.

5. Payment Terms

Payment terms for services will be specified in the individual project agreement or SOW. This may include advance payments, milestone payments, and final payments. Late payments may incur interest charges as specified in the SOW or invoice.

All prices are quoted in Indian Rupees (INR) unless otherwise specified and may be subject to applicable taxes (e.g., GST).

6. Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of a project. A separate Non-Disclosure Agreement (NDA) may be executed if required.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Next In Era shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the website or services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content.

Our total liability to you for any and all claims arising out of or relating to these Terms or your use of our Services or Website, regardless of the form of the action, is limited to the amount you have paid us for the specific Services giving rise to the claim in the preceding three (3) months.

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bareilly, Uttar Pradesh, India.
